Coaching Terms

These Coaching Terms apply to coaching provided by LD Coaching Limited. Version 30 October 2026.

1. About these terms

1.1 These terms, together with the Coaching Schedule that you sign, make up the agreement for your coaching. If the Schedule and these terms differ, the Schedule applies.

1.2 In these terms, "I" and "me" mean LD Coaching Limited (NZBN 9429053996275), trading as Lucy de Latour Coaching, and Lucy de Latour. "You" means the client named in the Schedule. "The Sponsor" means an employer or other organisation that arranges or pays for your coaching, for example an HR or learning and development contact or a practice group leader. If no Sponsor is paying, section 8 does not apply.

1.3 The version of these terms in force on the date you sign the Schedule applies to your coaching. I will give you a copy of that version.

2. What coaching is and is not

2.1 Coaching is a collaborative, personalised process that helps you think in new ways and make positive change. It is a partnership about you and for you. You decide what we work on.

2.2 Coaching is not therapy, counselling, mentoring or training. It is not treatment for any mental, physical or substance use condition, and it does not replace professional help. If you are struggling with your health or wellbeing, please tell me. I may suggest that you seek support from an appropriate professional. If you are currently seeing a therapist or another mental health professional, please check with them that coaching is suitable alongside that care, and tell me that you have done so.

2.3 I used to practise as a lawyer. In this role I do not give legal advice, and I am not acting as your lawyer. I also do not give financial, tax, medical or employment advice. Our conversations are confidential under these terms, but they are not protected by legal professional privilege.

2.4 You are responsible for your own decisions, choices, actions and results. Coaching may touch different areas of your life, such as work, finances, health and relationships. How you handle them, and whether you use anything from our conversations, is up to you. Coaching can help you think more clearly, but I cannot guarantee any particular result.

3. Confidentiality

3.1 What you tell me, and the fact that you are working with me, is confidential. I will not share it with anyone without your consent, except in these limited situations:

  • where the law requires me to, for example under a court order

  • where I reasonably believe there is a serious risk of harm to you or to someone else, or where I become aware of serious illegal activity

  • where you ask me to share it, or agree to it in writing

3.2 I am a member of the International Coaching Federation (ICF) and I follow the ICF Code of Ethics, which you can read at coachingfederation.org/ethics. I suggest you read it.

3.3 From time to time I discuss my coaching practice with a coaching supervisor. I do this without identifying you or giving details that would allow you to be identified.

3.4 I keep brief notes on our sessions to support the coaching. I store them securely and delete them when our work ends. Invoices and payment records are kept for seven years for tax purposes.

3.5 I am working towards an ICF credential, which requires me to keep a log of my coaching hours. I will record your name and contact details in that log only if you agree in your Schedule. It is used only for ICF credentialing, and ICF may ask to verify it. Saying no does not affect our coaching.

3.6 Email and video calls are convenient but are not completely secure. If you want to discuss something sensitive in a different way, tell me and we can agree how.

4. Privacy

4.1 I collect your name, contact details, billing details and session notes so that I can deliver the coaching and administer our arrangement. I do not sell your information or use it for any other purpose.

4.2 You can ask to see the personal information I hold about you and ask me to correct it, in line with the Privacy Act 2020. If there is a privacy breach that is likely to cause you serious harm, I will notify you and the Privacy Commissioner as the Act requires.

4.3 My Privacy Policy, at lucydelatour.co.nz/privacy-policy, gives more detail.

5. Fees and payment

5.1 Your fee is set out in the Schedule. Fees are quoted without GST, and GST is added at 15%.

5.2 You pay the fee in the instalments set out in the Schedule. I invoice through LD Coaching Limited (GST number 149-861-386), and each invoice is due within 14 days. Payment is by bank transfer, using the bank details and invoice number shown on the invoice.

5.3 I schedule your first session, and the sessions that follow a later instalment, once the relevant invoice has been paid.

5.4 If a Sponsor is paying, I will invoice the Sponsor and you will not be asked to pay.

6. Scheduling, cancelling and lateness

6.1 You can reschedule a session at no cost if you give me at least 24 hours' notice.

6.2 If you cancel with less notice, or do not attend, the session counts as used and the fee is not refunded. I may make an exception in an emergency.

6.3 If you are late, we will still finish at the agreed time. Please give notice of any change by email or text message.

6.4 If I need to cancel or reschedule, I will give you as much notice as I can and offer another time at no cost.

6.5 Sessions need to be used within nine months of the first session if booked as a programme. Unused sessions then expire.

7. Ending the agreement and refunds

7.1 Either of us can end this agreement at any time by telling the other in writing.

7.2 If that happens, I will refund the fees paid for sessions not yet held, less any session you have missed or cancelled late under section 6. Each session is worth the total fee divided by the number of sessions in the programme, counting the introductory session as one session.

7.3 If a Sponsor paid the fees, I will refund the Sponsor the fees paid for sessions not yet held.

7.4 If I am ending the agreement because I believe coaching is not the right fit for you, I will explain why and, where I can, suggest alternatives.

8. If a Sponsor is paying

8.1 This section applies only where a Sponsor is paying for or arranging your coaching.

8.2 The Sponsor pays the fees and has agreed to these terms and to the Schedule.

8.3 You decide what we work on in our sessions. The Sponsor's broad objectives for the coaching are set out in the Schedule. I will work with you towards your own goals within those objectives.

8.4 The Sponsor will receive only what the Schedule says. I will not share what you tell me with the Sponsor unless you give your written consent first.

8.5 The Sponsor agrees that it will not use your participation in the coaching, or anything you discuss, in decisions about your employment, remuneration, performance assessment or, where applicable, progression to partnership.

8.6 If I believe the Sponsor's interests and your interests are in conflict, I will raise it with both of you. Your confidentiality still applies.

8.7 If the Sponsor ends its funding early, I will tell you straight away and we will agree how to complete or conclude our work.

8.8 The Sponsor confirms that it has read and understood these terms, and agrees to make all efforts to ensure that conflicts of interest are declared and that the confidentiality of the coaching relationship is maintained. The Sponsor also agrees to pay the fees as set out in the Schedule.

9. Conflicts of interest

9.1 New Zealand's legal and professional communities are small. I may know you, your colleagues or your clients. I will tell you promptly if I become aware of a relationship or interest that could affect our work, and we will decide together how to handle it.

9.2 If you feel a conflict puts you at risk, you can ask me to step away from our agreement, and I will help you find another coach.

9.3 To avoid conflicts, I will not give or accept gifts from you or the Sponsor, and I will keep our relationship strictly professional while we work together.

10. Our commitments

10.1 My commitments to you:

  • to prepare for our sessions and give them my full attention

  • to keep our work confidential as set out in these terms

  • to work within the ICF Code of Ethics, to draw on the ICF Core Competencies and my ongoing study and supervision, and to tell you if I think I am not the right coach for you

  • to hold professional indemnity insurance throughout our work together

  • to be honest with you, including when it is uncomfortable

10.2 Your commitments to me:

  • to attend sessions on time and to engage openly and honestly, and to be open to feedback

  • to take responsibility for your own choices and any actions you decide on, and to keep your own notes of what you commit to between sessions

  • to tell me if the coaching is not working for you, or if your circumstances change in a way that affects our work

  • to pay the fees as set out in the Schedule and section 5, where you are paying

  • to respect my materials, and not to record sessions without my written agreement

11. Liability

11.1 To the extent the law allows, my total liability to you or the Sponsor in connection with this agreement is limited to the fees paid for the coaching. I am also not liable for indirect or consequential loss, such as lost income or lost opportunities.

11.2 Nothing in this agreement excludes or limits any right you have under the Consumer Guarantees Act 1993, the Fair Trading Act 1986 or any other law, where that right cannot lawfully be excluded or limited.

12. General

12.1 These terms and the Schedule are the whole agreement between us about the coaching. Changes must be agreed in writing, and email is enough.

12.2 If either of us has a concern, we will talk about it first. If we cannot resolve it, we will try mediation before going to court. You can also raise a concern about my coaching conduct with the ICF.

12.3 This agreement is governed by New Zealand law, and the New Zealand courts have jurisdiction.

12.4 We can sign the Schedule electronically and in separate counterparts.

12.5 If any part of this agreement is found to be invalid or unenforceable, the rest of it still applies.

12.6 If either of us does not enforce a right straight away, that does not mean we have given it up.

12.7 This agreement binds each of us and our successors. Neither of us may transfer it to someone else without the other's written agreement.
